There are several reasons to reject the license.

1. The license was not written by an attorney. No non-attorney-written
license should be accepted today; that would be detrimental to the
developer community, which depends on the license to work as intended in
court.
2. The intent of the license, to enable a select group to take the work
private, is discriminatory against everyone not in that group and thus
fails OSD #5.
3. The trapping effect of the license upon a fork of the project, where
developers do not wish to have their work taken private, is disadvantageous
to the developer community.
4. The license is redundant. Not with another OSD-accepted license, but
with the well-accepted mechanism of a contributor license agreement, which
can perform the stated purpose of the license better than the proposed text.

By holding off the vote, OSI has given you the chance to submit a
replacement text. So, you can go get a lawyer and discuss this, but IMO an
attorney with Open Source knowledge would recommend other strategies than
this license.
