*         Rationale:

As part of Netbanx payment processing products, we built RESTful APIs
recently, and are currently working on developing SDKs (software
development kit) in languages such as Java, PHP, Ruby and C# etc. The
SDKs are meant to make it simple, easy and quick for our merchants and
developers to integrate with our payment processing APIs .

We want to make our SDKs for APIs "Open-Source" and get the MIT Open
Source license for the same.  We will remain the owners of the SDKs in
its baseline version. At the same time, the developer community is free
to re-use them, modify them , suggest changes that they can share with
us / other developers at their own risk. This is in regards to the SDKs
only, not the actual API source code- which is undoubtedly our own
Intellectual Property. 

Various companies in the domain of payment processing do the same -
provide APIs and associated SDKs, and make the SDKs "open source" with
an MIT license. 

*         Distinguish:

o    Our Products, APIs, payment processing engine and product as well
as service offering are based on technology that we developed ourselves,
and that we fully own. Hence it is different  from others in the same
domain in terms of technology.

*         Legal Review:

o    This is a new license approval request, and has not been under any
prior legal review. However, our internal legal counsel has reviewed the
details here from a legal perspective, and had given a go-ahead for the
application.

*         Proliferation Category : MIT
