They could still simplify it immensely by cutting out all the stuff about
certification and use of Zeratec's trademarks.  Something like this:

1.  Zeratec grants you a non-exclusive, royalty-free, yada yada yada
license to use Zeratec's Degas Architecture or whatever it's called in any
product that is distributed:

(a) free of charge,
(b) at the cost of physical media and duplication, or
(c) under the General Public License published by the Free Software
Foundation.

2.  Products based on the Degas Architecture may be labeled as 
'Degas-based'.

3.  This license does not grant permission to use the term 'Degas'
(except as provided in (2)) or any other Zeratec trademark.  For
permission to use Zeratec's trademarks, contact Zeratec.

4.  This license must be included in its entirety in any product based on
the Degas Architecture.

There, isn't that simple?  Now find a contract lawyer to insert some
verbiage to make it legally enforceable, and you're set.
